Terms Of Use

Your use of our limited access internet-based strategic knowledge service is governed by the terms and conditions of the Enterprise License Agreement between Cambridge Energy Research Associates, Inc. (CERA) and your employer. The following is a summary of the terms of that agreement which you must review and agree to before accessing CERA's proprietary information, analysis, graphics and data accessible through this site (the "Knowledge Bases").

1. Limited Access:

You agree that you are an employee of an organization that has entered into an Enterprise License Agreement with CERA. You may only access the Knowledge Bases using workstations located in your organization's facilities or portable workstations operated offsite which are fully owned or leased by your organization.

2. Permitted Uses:

2.1. You may only use information contained in CERA's Knowledge Bases or information transmitted in any medium or by any means by CERA personnel (all of such information is referred in these Terms of Use as "CERA Content") for your organization's internal business purposes.

2.2. You may only reformat, modify, and otherwise make derivative versions of CERA Content for your organization's internal business purposes, provided that such reformatted, modified, and/or derivative versions shall always, and without exception, include the CERA trademarks, copyright notice, and source citation.

2.3. You may include information derived from the Knowledge Bases and copies of insubstantial portions of the CERA Content in memoranda, reports and presentations, provided that such materials are only distributed within your organization, and that the materials clearly and prominently identify the source Knowledge Base(s) of any copied portions and state that such information or copied portions are "Used with permission of Cambridge Energy Research Associates, Inc. and are only for internal distribution within your organization." An "insubstantial portion" means not more than 300 substantially consecutive characters of print, or more than 1,000 substantial contiguous pixels of graphics, or more than five (5) percent of any such work in which such information is included.

3. Prohibited Uses and Restrictions:

3.1. You may not disclose, sell, transmit, publish, broadcast, or otherwise disseminate or distribute CERA Content, or materials produced in any medium containing CERA Content, to anyone outside of your organization, for any purpose, whether commercial or otherwise, and whether or not for a charge or other consideration without express written consent of CERA.

3.2. You may not transfer, sublicense or assign the rights granted to you or your organization under these Terms of Use or the Enterprise License Agreement.

3.3. You shall reproduce on any materials containing CERA Content, and not remove, all titles, trademarks, and copyright and other proprietary or restrictive legends or notices contained in the Knowledge Bases, including without limitation any of the foregoing that are displayed in specific relation to any particular CERA Content contained in the Knowledge Bases.

4. Intellectual Property Rights: You acknowledge and agree to the following:

4.1. All right, title and interest in and to the CERA Content and all intellectual property and proprietary rights embodied therein or associated therewith are and shall remain CERA's (or its suppliers, as applicable), and these Terms of Use and the Enterprise License Agreement in no way convey any right or interest in the CERA Content or any license or right under any copyright, patent, trademark or other property right of CERA or any third party, other than a limited license to use the CERA Content in accordance therewith,

4.2. The CERA Content embodies valuable trade secret information of CERA, the development of which required the expenditure of considerable time and money, and

4.3. All trademarks mentioned in CERA's Knowledge Bases or in any other materials provided by CERA belong to their respective owners.

5. No Warranty:

The information to be supplied by CERA in accordance with the Enterprise License Agreement shall be obtained from sources which CERA believes to be reliable but in no way is warranted by CERA as to accuracy or completeness. ALL SERVICES AND INFORMATION TO BE PROVIDED TO YOUR ORGANIZATION AND YOU UNDER THE ENTERPRISE LICENSE AGREEMENT AND THESE TERMS OF USE ARE PROVIDED "AS IS" AND CERA MAKES NO WARRANTIES, WHETHER EXPRESS OR IMPLIED, WRITTEN OR ORAL, WITH RESPECT THERETO.

6. Enterprise License Agreement: This Terms of Use statement is intended to provide a summary of the terms of the Enterprise License Agreement applicable to your organization and all employees authorized to use CERA's Knowledge Bases and CERA information. These Terms of Use are qualified in their entirety by, and in no way do these Terms of Use modify or amend, the terms and conditions of the Enterprise License Agreement.
